What is Trademark Assignment?

A trademark assignment is a transfer of an owner's rights, title, and interest in a trademark or service mark. Trademarks can be sold and transferred from one owner to another through a process known as assignment. In case of a registered Trademark, such assignment is required to be recorded in the Register of trade marks through Form TM-P. The trademark is assigned in different ways, they are:

Complete Assignment:

Incase of complete assignment, the owner of the trademark transfers all the rights with respect to the trademark, including the transfer of the rights such as right to further transfer, earn royalties to another entity. Ex: Wipro Ltd, owner of “SANTOOR”, sells his brand to another through an agreement to HLL LTD. After this, Wirpo Ltd does not retain any rights with respect to “SANTOOR”

Partial Assignment:

Incase of partial assignment, the transfer of ownership is restricted to specific product or service only. The owner may retain the right to further transfer, to earn royalties. Ex: WIPRO LTD, owner of a SANTOOR SOAP and a SANTOOR HANDWASH, transfers proprietary rights only with respect to the SANTOOR SOAP brand and retains the rights over the SANTOOR HANDWASH, this is called as partial assignment.

Assignment with Goodwill:

Incase of assignment with goodwill, the owner transfers the rights and value of the trademark as associated with the product it sells. WIPRO LTD, owner of “SANTOOR SOAP” trademark for manufacturing and selling of SANTOOR SOAPS, can assign the trademark along with giving the assignee the right to use the said trademark for the same product

Assignment without Goodwill:

Incase of assignment without goodwill, owner restricts the assignee to use trademark for the products he uses it for. That is, the goodwill attached to the owners brand with respect to the product already being sold under such brand, is not transferred to the buyer. This means that assignor & assignee both can use the same trademark but in different goods or services. Ex: A LTD is a owner of the trademark “TITAN” uses it for manufacturing and selling of TITAN WATCHES and decides to assign it without goodwill, it means that the assignee can use the trademark “TITAN” for any other product other than watches.
